This Independent Contractor Agreement (the “Agreement”) is made and entered into as of {{Date.MMDDYYYY}} (the “Effective Date”) by and between Natalia Gomez Maganda Pineda (“Contractor”), and {{Client.Name}} (“Client”).
1. Terms
This agreement is to formalize our website in a week project. This contract is effective on the dates the client books the service after signing the contract.
2. Records
NATALIA GOMEZ MAGANDA PINEDA shall keep complete and accurate client records. All records and documents will be maintained at the “remote office”, (Google Drive documents).
3. Confidentiality & NDA
Both parties shall not disclose to any third party any details regarding our framework including, without limitation any information regarding any of NATALIA GOMEZ MAGANDA PINEDA’S customer information, business plans, or price points (the “Confidential Information”), (ii) make copies of any Confidential Information or any content based on the concepts contained within the Confidential Information for personal use or for distribution unless requested to do so by NATALIA GOMEZ MAGANDA PINEDA, or (iii) use Confidential Information for other purposes other than the ones stated on this document.
4. The website project includes the following:
Website project
20+ page website launch (copy, design and setup)
12 months of website platform hosting & HIPAA Compliant marketing lead CRM (https://www.duda.co/ and https://www.gohighlevel.com/)
Local SEO maintenance and 24 blogs/year
White glove website support (up to 30 min of minor website updates after going live)
Private slack channel and human support
There are no refunds after paying and the package requires 12 month commitment
After year 2 we require a 90 day notice if you wish to be offboarded

Estimate timeline:
- Client agrees to book onboarding strategy call within 15 days of first payment
- Client agrees to submit deliverables 1 week prior to website design kick off date to be confirmed in onboarding strategy call
- You have 1 dedicate round to request changes for your website copy and 1 dedicated round to request changes for your website launch package
You’ll be going through these phases
- Onboarding strategy call: After this call you’ll receive a brand messaging guideline so you can use it to write your website copy with my website copy toolkit
- Website copy review week: On this week you’ll get all your copy delivered by me and it’s suggested to have 1-2 weeks to make any adjustments after my comments.
- Website design weeks : For these dates we will need all your deliverables ready and we go through these phases
- Mood board and wireframe
- Website design phase
- Website SEO launch strategy
- Tech, integrations & going live
- Website activation week: Once everything looks OK and we’re ready to go live, you’ll get offboarding videos where we’ll teach you how to use everything and after that you transition into monthly SEO management phase
The total project timeline overview is 8-12 weeks spread within this scope:
- Month 1: Onboarding Strategy + Copy Review + Client Edits
- Month 2-3: Website Design + Client Review + Activation + Launch
- Month 3 and beyond: we transition to SEO and website management
*If due to mutual agreement we push revision dates the calendar timeline can be extended for up to 90 days (3 months) with some weeks in between with no work being done, holidays, or revision time on client's end.
*If the project is delayed more than 90 days after kick-off design date due to client being late in reviewing information or not sending needed information, there will be a penalization fee of $450 to re-activate the project timeline and finish the website.
The client must provide pre-work and gather deliverables at least 1 week before the website design kick-off week. If we do not receive client information, the project will be postponed to the next available date. We can reschedule the kick-off date up to 2 times for special circumstances, and if the situation reoccurs more than twice, the project will be terminated with no refunds or you will pay the penalization fee to block out time on our calendar again.
Project communication:Communication via email and Slack for the project deliverables during office hours Monday-Thursday (10:30am-4:00pm CST- Mexico City Time).
Hosting cost to continue with website services after year 1: Client understands that in order to continue having the website they will pay for website hosting with Natalia Maganda and their website is a white labeled service of the Duda Agency Platform hosted on Amazon Servers and the tech stack for email marketing, calendar booking and automations are via the agency High Level Platform. The hosting and management fee of ranges from $350/month to $750/month (Price without VAT) after year 1.
Our basic website hosting fee includes:
- Website hosted on AWS (Amazon Web Services via the Duda.com Agency platform https://www.duda.co/)
- Basic tech stack (contact forms, appointment booking, and email marketing software via High Level Agency platform https://www.gohighlevel.com/ )
- Ongoing VIP support and up to 30 mins of monthly website tech support and minor edits with Natalia Maganda. Communication via email, text and Loom Videos. If client needs further support additional fees will be quoted per situation and request.
- SEO strategy:Yearly keyword research
- 24 SEO blogs/year delivered in quarterly content batches
- Keyword tracking
If client books with Google ads package, service includes:
- Google ads management:Ongoing optimization of your ads and keywords
- Adjustments to ad copy based on performance
- Monitoring and improving cost-per-click, cost per lead and conversions
- Google Ads may be activated or paused for seasonal campaigns as needed, however the monthly retainer remains the same whether ads are running or not. Ad spend is paid directly to Google and is separate from the management fee. The recommended monthly ad budget is $600 to $1,000 or more. Results are not guaranteed in a specific timeframe but data and optimizations will always be communicated clearly.
Blog content disclaimer and content ownership belongs to client: All content will be written with resources and references shared by client on the blog strategy document and with the use of AI. Client must review work and is responsible for making any edits to the content to validate the sources, tips or advice shared on their blog. NATALIA GOMEZ MAGANDA PINEDA is not responsible for any legal or medical advice shared on the client's blog.
Payment method: PayPal and Stripe monthly installments with automatic collection.
4. Representations
The designs of websites hosted on NATALIA GOMEZ MAGANDA PINEDA's platform belong to our agency account. This means that if you ever want to migrate your website, we will give you the credentials to transfer your domain out of our platform, but the theme or template is not transferable.
In the case that the client wishes to pay for their own hosting with Duda, we can transfer site ownership and the client will have to create their own Duda account and accept the site transfer.
Once the website has been delivered, NATALIA GOMEZ MAGANDA PINEDA does not have any legal right or obligation in this regard, except those that the Client explicitly grants to NATALIA GOMEZ MAGANDA PINEDA here. The Client grants NATALIA GOMEZ MAGANDA PINEDA permission to use the website as part of NATALIA GOMEZ MAGANDA PINEDA's portfolio and websites, in galleries and in other media, as long as it is to display NATALIA GOMEZ MAGANDA PINEDA's work and not for any other purpose. NATALIA GOMEZ MAGANDA PINEDA is not allowed to sell or use the website to make money or for any other commercial use.
NATALIA GOMEZ MAGANDA PINEDA promises that the manner it does this job, its Website, and any background IP it uses comply with applicable U.S. and foreign laws and regulations. Website Does Not Infringe. NATALIA GOMEZ MAGANDA PINEDA promises that its Website does not and will not infringe on someone else’s intellectual property rights, that NATALIA GOMEZ MAGANDA PINEDA has the right to let the Client use background IP, and that this Contract does not and will not violate any contract that NATALIA GOMEZ MAGANDA PINEDA has entered into or will enter into with someone else. Client Will Review Work. The Client promises to review the Website, to be reasonably available to NATALIA GOMEZ MAGANDA PINEDA if she has questions regarding this project, and to provide timely feedback and decisions. Client-Supplied Material Does Not Infringe. If the Client provides NATALIA GOMEZ MAGANDA PINEDA with material to incorporate into the Website, the Client promises that this material does not infringe on someone else’s intellectual property rights. The client is responsible for delivering on their own the following information and integrations for the website design process:
- Images
- Product or service descriptions
- Price strategy
- Terms of Service Policy
- FAQ section
- Testimonials with consent from users
- Legal address
NATALIA GOMEZ MAGANDA PINEDA is not responsible for legal and tax advice for websites. NATALIA GOMEZ MAGANDA PINEDA does not take any responsibility with the legal part of the Client’s business. It is the Client’s responsibility to make sure that their billing, customer service, shipping, and taxes comply with their country's laws.
5. Refund policy & added fees
In the case that the client no longer wishes to finish the project, NATALIA GOMEZ MAGANDA PINEDA cannot refund the deposit or any other payments made due to the nature of this service. If for some reason we wish to terminate the project, the client must fulfill up to 100% of the project cost due to the time that was invested in the project and the time booked on NATALIA GOMEZ MAGANDA PINEDA'S calendar. Retainer after year 1 is subject to 3 months minimum due to some activities like content batching being done in advance. If for some extra-ordinary reason the client wishes to terminate we require a 90 day notice.
